Terms of Service

These Terms of Service ("Terms") govern your access to and use of this software-as-a-service platform ("Service"). By using the Service, you agree to these Terms.

1. Service Access and Accounts

You are responsible for safeguarding account credentials and all activities under your account. You must provide accurate information and maintain at least one authorized billing contact for your organization.

2. Subscription and Fees

Paid subscriptions are billed monthly per active seat unless otherwise agreed in writing. Fees are non-refundable except where required by law or expressly stated in a separate order form.

3. Acceptable Use

You may not use the Service to violate law, infringe rights, or disrupt systems. We may suspend access for security threats, abuse, or non-payment.

4. Data and Privacy

Each party will comply with applicable privacy laws. You retain ownership of your data. We process data only as needed to provide and secure the Service.

5. Disclaimer and Liability Limits

The Service is provided "as is" except as expressly set out in a signed agreement. To the maximum extent allowed by law, total liability for all claims is limited to fees paid in the 12 months before the claim.

6. Indemnification

You will defend and indemnify the provider against third-party claims arising from your use of the Service, your content, or your violation of these Terms.

7. Termination

Either party may terminate for material breach not cured within 30 days. We may terminate immediately for unlawful use or security risk.

8. Governing Law

These Terms are governed by the laws specified in your order form or, if none, by the laws of the provider’s primary place of business.

This boilerplate is for operational use and should be reviewed by legal counsel before production launch.
